1. Acceptance of Terms

By accessing or using the Flow Mfg Ops Platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility & Account Registration

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Platform. When registering an account, you agree to provide accurate, current, and complete information and to keep your login credentials confidential.

3. Permitted Use

The Platform is licensed to you for internal business operations related to manufacturing operations management, including OEE monitoring, quality management, work-order execution, and supplier collaboration. You may not resell, sublicense, or use the Platform to provide a competing service without prior written consent.

4. Prohibited Conduct

You agree not to: (a) reverse engineer or disassemble any portion of the Platform; (b) attempt to circumvent authentication, rate-limit, or feature-flag controls; (c) upload malicious payloads or attempt to overwhelm API endpoints; (d) misuse webhook signing secrets or attempt signature spoofing; or (e) attempt to access another tenant's data.

5. Data Ownership & License

You retain all rights, title, and interest in and to your data submitted to the Platform. You grant Lucaxis a limited, non-exclusive, royalty-free license to process your data solely as necessary to provide the Platform to you, subject to the Privacy Policy.

6. Acceptable Security Practices

You are responsible for safeguarding your account credentials, configuring appropriate role assignments (admin, operator, viewer), and ensuring that any external systems you connect (PLM, ERP, MES, QMS) are authorized for data exchange. Lucaxis is not liable for unauthorized access resulting from credential disclosure on your side.

7. Integrations & Third-Party Connectors

The Platform includes pre-built connectors to third-party systems (SAP, Oracle, Microsoft, Siemens, Aveva, Rockwell, Veeva, and others). These connectors depend on vendor APIs and are subject to the third party's terms. Lucaxis does not warrant the availability or accuracy of any third-party API.

8. Service Availability

Lucaxis targets 99.5% uptime for the Platform but does not guarantee uninterrupted availability. Scheduled maintenance windows, force-majeure events, and dependency outages (e.g., cloud-provider incidents) are excluded from uptime calculations.

9. Fees & Payment

Subscription fees, tier upgrades (starter, pro, enterprise), and per-connector usage charges are billed in advance. Overages (records synced beyond plan) are invoiced monthly. All fees are non-refundable except where required by law.

10. Intellectual Property

The Platform, including its source code, designs, and documentation, is the proprietary property of Lucaxis and is protected by intellectual-property laws. These Terms do not grant you any right, title, or interest in the Platform except for the limited right of use set forth herein.

11. Termination

Either party may terminate this agreement for cause with 30 days' written notice. Upon termination, Lucaxis will make your data available for export for 60 days, after which it will be permanently deleted from production systems, excluding backups retained for disaster-recovery purposes.

12. Limitation of Liability

To the maximum extent permitted by law, Lucaxis shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, production downtime, or data corruption. Total liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.
